If things hadn’t become so bizarre I might agree with David Marcus’ reasoning.
The one thing that still blows my mind is that the Federal government oversaw the involuntary transfer of wealth from Bear Stearns shareholders to JP Morgan in one week-end, without any statutory or regulatory guidance. I think if I were a Delaware judge, I would ask whether there was a mechanism to send this controversy to federal court because of the 5th Amendment due process issues.
